As Associate Counsel at Indepay, you will be responsible for the effective and efficient management of the
Legal
department, provision of
legal
advisor
y services and ensuring effective management of
legal
and contractual risks.
You will take charge of the
Legal
Affairs
of Indepay. In addition, you would discharge the duties of the Indepay
Company Secretary. Custodian of all Statutory, Regulatory and
Legal
affairs of the Group
Key responsibilities
-
Drafting and negotiating technology licenses and other commercial
agreement such as agreement with Subsidiaries, contracts of purchase /
sale of goods & services, etc
- Documentation for appointment of distributors/vendors/partners in India and overseeing
legal
issues related to the distributor/vendors/partner appointment process
- Coordination with outside counsel with regard to the company's
legal
matters and looking after all company litigation

Review, approval, and maintenance of all transaction and contract
related documents in India, to ensure that the associated risks are
minimized
- Interpretation of laws and regulations applicable to the business
- Provide
legal
controls and checkpoints
- Compliance and court work (stamp duty, complaints, suits, appeals, affidavits, amendments applications etc)
- Archiving and retrieval of
legal
documentation, back up and disaster recovery plan for the same

Advising regarding transactions of business concerning internal
affairs, directors, stockholders, officers, and corporate relationship
with public
- Taking care of all Intellectual Property issues
- Examining
legal
information to find out the advisability of prosecuting or defending lawsuit.

Conducting pre-trial preparations for conference and defending the
organization in law cases. Examining material, such as publications,
advertisements etc., for
legal
implications.
- Performing
advisor
y, informatory, and trial works
- Organising, preparing agendas for and taking minutes of board meetings and annual general meetings (AGMs)
- Maintaining statutory books, including registers of members, directors and secretaries under the law
- Providing support to committees and working parties such as the Board of Directors etc
- Maintenance of Statutory Records and Registers
- ROC compliances
Key skills:

Strong knowledge of corporate (Companies Act 2013), commercial and
intellectual property laws, high tech industry practices & corporate
policies & procedures

Demonstrated experience in general corporate matters, commercial
transactions, contract management, employment law, marketing and license
agreements
- Superior presentation skills to effectively convey information to senior management
- Proficient in training organization on
legal
practices, policies and procedures
- Strong ability to respond to enquiries from regulatory agencies, customers and business community

Demonstrated experience of dealing with various Statutory and
Regulatory Authorities such as Registrar of Companies, Regional
Director- Ministry of Corporate Affairs, Reserve Bank of India
- Preferably experience in filing of petitions with courts and management of court cases

Ability to thrive in a dynamic and fast-paced environment, drive
change, and collaborate effectively with a variety of individuals and
organizations
- Strong communication skills both spoken and written are a must
- Excellent business acumen, and problem solving ability
- Should be self starter, result oriented, and a strong bias for action is mandatory
